Missouri's New Wholesaling Law: What Real Estate Investors Need to Know

Missouri recently passed Senate Bill 973, which includes a new law—Section 407.3600—that will significantly impact real estate wholesalers operating in Missouri.


The law is scheduled to take effect on August 28, 2026.


If you're a real estate investor, landlord, or anyone who buys distressed properties, here's what you should know.

📋 What Does the New Law Require?

Under Section 407.3600, a wholesaler must provide a written disclosure to the property owner at least 14 calendar days before entering into a contract to purchase certain residential real estate. The disclosure must explain the wholesaler's role and the nature of the transaction. The seller must sign the disclosure before a contract can be executed.

⚠️ Why Was This Law Passed?

Supporters of the legislation argued that some homeowners did not fully understand that the person signing the contract intended to assign or flip the contract for profit rather than purchase the property themselves. The stated goal of the law is to increase transparency in these transactions and provide additional consumer protections.

💰 What Does This Mean for Investors?

  • Contract assignments

  • Wholesaling

  • Novations

  • "We Buy Houses" marketing

  • Distressed seller acquisitions


you should review your acquisition documents and sales process before August 28. The law creates disclosure obligations and provides enforcement mechanisms for non-compliance. Failure to follow the requirements could create legal exposure and potentially jeopardize transactions.

Even if you don't wholesale properties yourself, this law is worth understanding because:

  • You may receive offers from wholesalers.

  • You may purchase deals from wholesalers.

  • You may sell rental properties to wholesalers in the future.

  • You may encounter wholesalers when sourcing off-market deals.
